Licensee in accordance with Innovatus’ then-current maintenance and support policies, unless such updates and upgrades are provided under
separate license agreement. ANY OTHER SOFTWARE THAT MAY BE PROVIDED WITH THE SOFTWARE THAT IS ASSOCIATED WITH A SEPARATE LICENSE AGREEMENT
IS LICENSED TO YOU UNDER THE TERMS OF THAT LICENSE AGREEMENT.
License. For purposes of this License, the term “Licensee” means the person, company or entity that uses the Software under this License.
The Licensee must accept and agree to this License before downloading, installing, copying or using the Software.

permitted by applicable law notwithstanding this limitation.
Software and Documentation. “Software” means the computer programs of the licensed software product(s) in the form and version(s)
provided to Licensee, together with the associated media and corresponding Documentation. “Documentation” means the end user manual and
other documentation (including print and “online”), if any, provided to Licensee with the Software.
Ownership. All title and intellectual property in and to the Software (including all copies of the Software made by Licensee)
are owned by Innovatus and its licensor(s). The Software is also protected by copyright law and other related intellectual property rights.
The Software is licensed to Licensee, not sold.
Activation Key. To use the Software, Licensee must first obtain an “activation key” from Innovatus or its authorized reseller.
The activation key may be a printable digital key, a non-printable file, or any other mechanism used by Innovatus for license activation purposes.
License. Subject to the terms and conditions of this License, Innovatus grants to Licensee a nonexclusive, nontransferable license
to use the Software. Licenses apply separately to each Software product. However, a special type of license can be seen the form of a product
or package label or confirmation e-mail will be sent to the Licensee and will identify the Software licensed to Licensee under this License
for a limited and restricted use.
Evaluation License - An NFR Demo license is a special type of “limited user” evaluation license that is provided exclusively to,
and for use only by, Innovatus channel and OEM partners to assist in demonstrating Innovatus’ software to prospective customers.
In the event the partner relationship with Innovatus expires or is terminated, or the Partner no longer uses the license as intended,
the NFR license will immediately terminate.
Not for Resale (NFR) Demo License - An Evaluation License is a “limited time,” “limited user” license that provides the Licensee an
opportunity to try the Software before buying a full license. A temporary activation key will be issued to Licensee for this license.
The Software may only be used for evaluation purposes. The Software is licensed to Licensee only for the specified evaluation period,
which will begin on the date that the Software is first downloaded by or delivered to Licensee.
Technician and Consultant Licenses - Technician and Consultant Licenses are sold on a “per-individual” basis. Each license
is restricted to a single individual (the “technician” or “consultant”) who is an employee or independent contractor of Licensee,
and may not be transferred to or shared with any other individual. Licensee guarantees the technician’s compliance with this License.
Use of the Software is limited to use by the technician (if an employee) within his/her scope of employment with Licensee,
or use by the technician (if an independent contractor) within the scope of his/her services for Licensee. One Technician or
Consultant License must be purchased for each technician involved in setting up, installing, imaging or configuring any managed computers.
The computers on which the licensed technician uses the Software are Licensed Computers. Technician and Consultant Licenses do not allow
any element of the software to be “left behind” on the Licensed Computers once the configuration tasks have been completed.
Copies. Licensee may make copies of the Software provided that any such copy: (i) is created as an essential step in the
utilization of the Software on a Licensed Computer and is used in no other manner and on no computer which is not a Licensed Computer
for that Software, or (ii) is only for archival purposes to back-up a Licensed Computer. All trademark, copyright and proprietary
rights notices must be faithfully reproduced and included by Licensee on such copies. Licensee may not make any other copies of the
Software. If obtained for evaluation purposes, at the end of the evaluation period, Licensee must erase all copies of the Software
unless a license is purchased as provided above.
Restrictions. Innovatus reserves all rights not expressly granted to the Licensee. Without limiting the generality of the
foregoing, Licensee shall not: (i) disassemble, de-compile or otherwise reverse engineer the Software, or (ii)
create derivative works based upon the Software, or (iii) rent, lease, sublicense, distribute, transfer, translate,
modify or reprogram the Software, or (iv) timeshare the Software, make the Software available to others on the Internet,
any BBS or any on-line service, or allow others to copy, access or use the Software.
Limited Warranty. If (a) the Software does not substantially conform to its specifications in the Documentation,
or if the physical media accompanying the Software is defective, or if Licensee is dissatisfied with the Software for any reason,
and (b) if the Software (including all accompanying media, Documentation, packaging and materials) is returned by Licensee
within 10 days of first receipt, then the payment made by Licensee to purchase the license shall be refunded to Licensee.
Upon return, the License shall terminate and Licensee must immediately cease all use of the Software and remove and erase all
copies of any Software from all computers and storage media and devices within the possession or control of Licensee. At Innovatus’
request, Licensee will certify in writing to Innovatus that Licensee has complied with section. In the event that the Software
is licensed under an Evaluation License, there shall be no refund because an Evaluation License is free. In the event that
Licensee purchases a Software license during or after evaluation of the Software under an Evaluation License,
then there shall be no obligation to refund the payment made by Licensee to purchase the Software license
(i.e., the 10 day evaluation period was Licensee’s 10 day limited warranty period). THIS LIMITED WARRANTY SHALL NOT APPLY
TO SOFTWARE UPDATES AND UPGRADES. ALL UPDATES AND UPGRADES ARE LICENSED “AS IS,” WITHOUT WARRANTY OF ANY KIND.
Disclaimer of Warranties. INNOVATUS MAKES NO WARRANTY NOT EXPRESSLY SET FORTH IN THIS LICENSE. EXCEPT AS EXPRESSLY
WARRANTED ABOVE, THE SOFTWARE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. INNOVATUS DISCLAIMS AND EXCLUDES ALL IMPLIED

Is it hard to use or navigate? I am not a techie person.
No, it's very easy to use because the interface of ZERiX is very user friendly. It is similar to
sending an email. You will have an inbox, sent and pending messages. It is also similar to
sending a text message from your phone.
Can your technical staff access our contacts, messages and databases?
No, ZERiX software is installed in your server so we will have no access to any of your
contacts or data. This is an offline software.
Do I need to have internet connection for this system?
No, ZERiX software uses the GSM network to send and receive messages. You will only
need an internet connection if you would like to remotely access ZERiX from another
computer outside your office.
Do I need a SIM card?
Yes, a SIM card is required. Please purchase a SIM from your chosen mobile carrier.
If I am in another country, can I use that local SIM Card of that country where I am at to run the system?
Yes, you may place any country’s Sim Card into the modem to run the system if you’re
travelling with ZERiX.
How many SMS’ can I send?
This will depend on your mobile plan with your carrier. We suggest that you register your
sim card to send unlimited text messages so you can maximize the use of your ZERiX software.
How long will it take for SMS to be sent out using ZERiX Software?
This will depend on the mobile signal and network coverage. Normally, ZERiX can send
15 messages per minute.
If there are unsent messages, will we be able to see them?
Yes, you can check the outbox page for the unsent messages.

Any on-demand service requests will be charged the prevailing Per-Call basis for
technical support calls.
ZERiX MAINTENANCE CONTRACT PLAN COVERAGE
The ZERiX Maintenance Plan covers on-demand service visits and technical call
center support defined as follows:
Perform remote troubleshooting, including reinstallation in the same server or another server after a successful installation;
Unlimited technical support through telephone, email and chat
The ZERiX PLAN includes:
Bug Fixes
Upgrades. The recommended ZERiX upgrades per year
Reinstallation in case of system upgrades limited to one (1) server and (1) client workstation per license.
Online training for upgrades.
The ZERiX PLAN does not include:
Repairs or replacement of modem or any hardware associated with the purchase of ZERiX ( this shall incur additional charges )
Keyword set-up or data integration or migration.
Any customization request may be added for a fee and the extent of customization and level of support will be at the discretion of Optimum Innovatus Corp.

This ZERiX Terms of Service (“Agreement”) is a legal agreement between Optimum Innovatus Corp. (“Innovatus”, “ZERIX Text”, “ZERiX, “us”, or “we”) and the entity or
person (“you”, “your”, “your company” or “user”) who purchased a subscription to use the ZERiX Software and App, to receive certain notification, data, technology that
may be offered by ZERiX, and other related applications, communications and services (“Services”). This Agreement describes the terms and conditions that apply to your
use of ZERiX.
You may not use ZERiX unless you agree to abide by all of the terms and conditions in this Agreement. Please click to send a message if you do not understand

1. Account Registration
If you create a user under the ZERiX software or App, on behalf of an entity, such as your business or employer, you represent that you have the
legal authority to bind that entity to this Agreement.
You are responsible for maintaining the security of your account and password. ZERiX cannot and will not be liable for any loss or damage from your
failure to comply with this security obligation.
You are responsible for all content posted and activity that occurs under your account, even when content is posted by others, with or
without your consent, who have their own logins under your account.
You may not use the Services for any illegal and immoral purposes or to violate any laws in your jurisdiction (including copyright laws).
You must provide your true and correct full name, a valid email address, and any other information requested in order to complete the signup process.
Your login may only be used by one person. A single login shared by multiple people is not permitted. You may create separate logins
for as many users, permitted by the package you have subscribed to, as you'd like.
Any accounts registered by computers, machines, mechanical device, or other automated methods are not permitted.
2. User’s Content
When we import data from your company’s database, your data or content may be uploaded to ZERiX, either directly or indirectly. This content
may include data, images, source code, feature descriptions, and other content created, stored or transmitted by you on ZERiX. You represent
that you have all the rights, power, and authority necessary to use and transmit the contents via ZERiX and you expose yourself to liability for
contents without all the necessary rights.
You are solely responsible for the content of, and for any harm resulting from any User Content that you or your users make available via ZERiX.
All content provided to ZERiX must comply with the copyright laws of your jurisdiction and the generally accepted international intellectual laws.
We claim no intellectual property rights over the User Content you provide. We do not pre-screen User Content, but reserve the right, without
obligation, in our sole discretion to refuse or remove User Content that is available via ZERiX. We take no responsibility for and we do not expressly
or implicitly endorse any of your content.
Although we do not have obligation to screen, edit or monitor User Content, we may, in our sole discretion, delete or remove your content, or
discontinue our Services at any time for violation of these Terms, or if you otherwise create liability for us.
You hereby grant to Innovatus/ZERiX a fully paid, worldwide, non-exclusive, irrevocable, perpetual (or for the term of the protection), royalty-free,
sub-licensable and transferable license to access, use, store, distribute, display, reproduce, publish, modify, transmit, broadcast, and otherwise
exploit in any manner the User Content for purposes of providing you ZERiX and for Innovatus’ other legitimate business reasons.
Innovatus considers User Content confidential to you. We will protect User Content from unauthorized use, access, or disclosure in the same manner
that we would use to protect our own confidential information of a similar nature and in no event with less than a reasonable degree of care. For
more information on how we use and treat your User Content and other data, please see the section titled “Data Privacy”.
3. License
Except for User Content, the Services, information, trademarks, and materials contained herein are the property of Innovatus and its licensors, and
are protected from unauthorized copying and dissemination by copyright law, trademark law, and other intellectual property laws. Subject to this
Agreement, Innovatus grants you a limited, non-transferable, non-exclusive, revocable license to use the Services (the "License"). Your rights under
this Agreement do not include any right to use or appropriate for yourself the trademarks, service marks, and trade names of ZERiX for any reason,
willfully or negligently.
You are strictly prohibited to: (i) copy, modify, create a derivative work of, reverse engineer, or otherwise attempt to extract the source code or
design elements of ZERiX; (ii) reproduce the features or functionality of ZERiX in a similar or competing product, including any new or existing,
publicly listed product on the ZERiX Website; (iii) use the Services in a manner that violates this Agreement; or (iv) attempt to do any of the foregoing.
We reserve the right to discontinue our Services for any act that constitutes a reasonable belief that an infringement of our intellectual property rights,
including the ZERiX License Agreement, or its licensors has been committed.
4. Fees & Payment
Usage of ZERiX requires your purchase of a timely paid subscription. If you fail to pay for usage, your account will be frozen and inaccessible until
payment is updated.
Any upgrade or downgrade in plan level will result in the new rate being charged at the next billing cycle. There will be no prorating for downgrades in
between billing cycles.
Payments are non-refundable. There will be no refunds or credits for partial months of service or for months unused with an open account.
ZERiX reserves the right to change its fees and payment policies for the Services at any time, and will provide you adequate notice before the beginning
of the billing cycle in which such change will take effect.
All fees are exclusive of Value Added Tax or all taxes imposed by taxing authorities, and you are responsible for payment of all such taxes.
Payments and purchases made through the ZERiX website are governed by this Terms of Service. We expressly disclaim all responsibility and liability for
your use of ZERiX website.
5. Data Usage, Privacy Policy, and Security
Protecting, securing, and maintaining the information processed and handled through the Services is one of our top priorities, and it should be yours too.
Please read the ZERiX Privacy Policy, which describes the types of information we collect from you, how we use your information, and the legal bases we have
to process your information.
6. Publicity
You agree to allow us to use and publish your company's or organization's name and logo to identify you as a ZERiX user or customer on our website and in
promotional materials. You may revoke this permission by notifying us in writing to stop using your organization's name in our promotional materials. However,
ZERiX will have no obligation to remove or recall any prior use or distribution of the promotional materials. All publicity made prior to your revocation
shall be considered as done in good faith.
7. Suspension, Cancellation and Termination
You must cancel your account via support request at our website using your account email. Any other emails or phone requests to cancel your account will not
be considered a cancellation.
If you cancel the Services before the end of your current paid up month, your cancellation will take effect immediately, and you will not be charged again.
But there will not be a refund or any prorating of unused time in the last billing cycle.
You are solely responsible for canceling subscriptions purchased through the ZERiX website. Cancellations made through the ZERiX website are governed by this
Terms of Service.
ZERiX, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Services for any
reason at any time by giving you a thirty (30) days’ notice through this website using your account email.
ZERiX may immediately, without notice, suspend or terminate this Agreement if (i) you have material breached your obligations under these Terms of Service,
our Data Privacy policy or License Agreement, (ii) you have violated applicable laws, regulations or third party rights, (iii) ZERiX believes in good faith
that you have infringe our intellectual property rights. Such termination of the Services will result in the deactivation or deletion of your account.
ZERiX has the right to delete all User Content following termination or expiration of this Agreement.
8. Limitation of Liability
Your sole and exclusive remedy for any dispute with us is the cancellation of your subscription. You acknowledge and agree that, to the maximum extent
permitted by law, the entire risk arising out of your access and use of ZERiX and the content, whoever owns it, remains in you. In no event shall our
total cumulative liability to you for any and all claims relating to or arising out of your use of the Services, regardless of the form of action, exceed
the greater of the total amount of fees, if any, that you paid to utilize our Services for the past twelve (12) months prior to the event giving rise to the
liability. In no event shall we be liable to you (or to any third party claiming under or through you) for any direct, indirect, special, incidental, consequential, punitive or exemplary damages or any bodily injury, emotional distress, death or any other damages arising from your use of or inability to use the Services,
whether on-line or off-line, or otherwise in connection with the Services.
These exclusions apply to any claims for lost profits, lost data, loss of goodwill or business reputation, cost of procurement of substitute goods or services,
work stoppage, computer failure or malfunction, any other commercial damages or losses, or any personal injury or property damages, even if we knew or should
have known of the possibility of such damages. These limitations on our liability to you will apply regardless of the legal theory on which your claim is based,
including contract, tort (including negligence), strict liability, or any other theory or basis.
Because some countries, states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states
or jurisdictions, our liability shall be limited to the extent permitted by law.
9. Indemnification
To the maximum extent permitted by applicable law, you agree to hold harmless and indemnify Optimum Innovatus Corp., the owner of ZERiX, and its subsidiaries,
affiliates, officers, agents, employees, advertisers, licensors, suppliers or partners from and against any third party claim arising from or in any way related
to (a) your breach of this Terms of Service, Privacy Policy, License Agreement, (b) your improper use of the Services and Licenses, or (c) your violation of
applicable laws, rules or regulations in connection with the Services, including any liability or expense arising from all claims, losses, damages (actual and
consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature. In such a case, ZERiX will provide you with written
notice of such claim, suit or action.
10. Disclaimers
IF YOU ACCESS THE SERVICES, YOU DO SO VOLUNTARILY AND AT YOUR OWN SOLE RISK. WE PROVIDE THE SERVICES “AS IS”, “WITH ALL FAULTS” AND “AS AVAILABLE.” WE MAKE NO
EXPRESS OR IMPLIED WARRANTIES OR GUARANTEES ABOUT THE SERVICES.
YOU AGREE THAT YOU HAD WHATEVER OPPORTUNITY YOU DEEM NECESSARY TO INVESTIGATE THE SERVICES, LAWS, RULES OR REGULATIONS THAT MAY BE APPLICABLE TO ITS USE AND THAT
YOU ARE NOT RELYING UPON ANY STATEMENT OF LAW OR FACT MADE BY ZERiX RELATING TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE HEREBY DISCLAIM ALL SUCH WARRANTIES, INCLUDING ALL STATUTORY WARRANTIES, WITH RESPECT TO THE SERVICES, INCLUDING WITHOUT
LIMITATION ANY WARRANTIES THAT THE SERVICES ARE MERCHANTABLE, OF SATISFACTORY QUALITY, ACCURATE, FIT FOR A PARTICULAR PURPOSE OR NEED, OR NON-INFRINGING. WE DO NOT
GUARANTEE THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE EFFECTIVE, RELIABLE OR ACCURATE OR WILL MEET YOUR REQUIREMENTS. WE DO NOT
GUARANTEE THAT YOU WILL BE ABLE TO ACCESS OR USE THE SERVICES (EITHER DIRECTLY OR THROUGH THIRD-PARTY NETWORKS) AT TIMES OR LOCATIONS OF YOUR CHOOSING. WE ARE
NOT RESPONSIBLE FOR THE ACCURACY, RELIABILITY, TIMELINESS OR COMPLETENESS OF INFORMATION PROVIDED BY ANY OTHER USERS OF THE SERVICES OR ANY OTHER DATA OR INFORMATION
PROVIDED OR RECEIVED THROUGH THE SERVICES. EXCEPT AS EXPRESSLY SET FORTH HEREIN, ZERiX TEXT MAKES NO WARRANTIES ABOUT THE INFORMATION SYSTEMS, SOFTWARE AND FUNCTIONS MADE
ACCESSIBLE BY OR THROUGH THE SERVICES OR ANY SECURITY ASSOCIATED WITH THE TRANSMISSION OF SENSITIVE INFORMATION. ZERiX DOES NOT WARRANT THAT THE SERVICES WILL
OPERATE ERROR-FREE, THAT ERRORS IN THE SERVICES WILL BE FIXED, THAT LOSS OF DATA WILL NOT OCCUR, OR THAT THE SERVICES OR SOFTWARE ARE FREE OF COMPUTER VIRUSES,
CONTAMINANTS OR OTHER HARMFUL ITEMS. UNDER NO CIRCUMSTANCES WILL ZERiX, ANY OF OUR AFFILIATES, DISTRIBUTORS, PARTNERS, LICENSORS, AND/OR ANY OF OUR OR THEIR
DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS, AGENTS, OR OTHER REPRESENTATIVES BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR RELIANCE ON INFORMATION OBTAINED THROUGH
THE SERVICES.
THE FOREGOING DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. YOU MAY HAVE OTHER STATUTORY RIGHTS. HOWEVER, THE DURATION OF STATUTORILY REQUIRED WARRANTIES,
IF ANY, SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Feedback
We welcome and encourage you to provide suggestions for improvements, comments, ideas, or other feedback ("Feedback") about our Services. You may submit Feedback
by emailing us, through the Contact Us section of ZERiX Website. Any Feedback you submit to us will be considered non- confidential and non-proprietary to you, even
if you designated it as such. We may use and publish your Feedback for any purpose, without obligation to you of any kind, and without your consent.
12. General Provisions
12.1 Right to Amend
We reserve the right, at our sole discretion, to amend this Agreement at any time. We will notify you of material changes to this Agreement, by posting a
notice on our website or sending you an email. For non-material modifications, your continued use of our Services constitutes agreement to our revisions to
the Agreement. You can access a copy of the current terms of this Agreement on our website at any time. You can find out when this Agreement was last changed
by checking the “Last Updated” date at the top of the Agreement.
12.2 Assignment
ZERiX may without restriction assign or delegate this Agreement and/or our Privacy Policy, in whole or in part, to any person or entity at any time
with or without your consent. You may not assign or delegate any rights or obligations under the Agreement or Privacy Policy without our prior written consent,
and any unauthorized assignment and delegation by you is void.
12.3 Third-Party Services
The relationship of the parties under this Agreement is that of independent contractors. Neither party will be deemed to be an employer, employee, agent,
partner or legal representative of the other for any purpose and neither will have any right, power or authority to create any obligation or responsibility
on the behalf of the other.
In order for us to communicate with such Third-Party Services, you may be required to input credentials in order for us to access and receive relevant
information from the Third-Party Service. By enabling use of the Services with any Third-Party Service, you authorize ZERiX to access your accounts
with the Third-Party Service for the purposes described in this Agreement.
You access and use any Third-Party Service based on your own evaluation and at your own risk. You understand that your use of any Third-Party Service is
not governed by this Agreement. If you decide to use a Third-Party Service, you will be responsible for reviewing, understanding and accepting the terms
and conditions associated with its use. We expressly disclaim all responsibility and liability for your use of any Third-Party Service. Please also
remember that when you use a Third-Party Service, our Privacy Policy is no longer in effect. Your use of a Third-Party Service, including those that have
a link on our website, is subject to that Third-Party Service's own terms of use and privacy policies.
12.4 Excessive Use
We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other users. We will reach out to you
before taking any action except in rare cases where the level of use may negatively impact the performance of the Services for other users.
12.5 Force Majeure
Neither party will be liable for any delays in processing or other nonperformance caused by telecommunications, utility, failures, or equipment failures;
labor strife, riots, war, or terrorist attacks; nonperformance of our vendors or suppliers, fires or acts of nature; or any other event over which the
respective party has no reasonable control.
12.6 Governing Law
The Agreement shall be deemed to have been entered into and shall be construed and enforced in accordance with the laws of the Philippines as applied to
contracts made and performed entirely within the Philippines, without giving effect to any conflicts of law statutes. You and Innovatus, the owner of
ZERiX, agree to submit to the exclusive jurisdiction and venue of the courts located in Pasig City, Metro Manila, Philippines.
12.7 Severability, No Waiver, and Survival
If any part of this Agreement is held invalid or unenforceable, that portion of the Agreement will be construed to reflect the parties' original intent.
The remaining portions will remain in full force and effect. Any failure on the part of Innovatus to enforce any provision of this Agreement will not be
considered a waiver of our right to enforce such provision. Our rights under this Agreement will survive any termination of this Agreement.
12.8 Notices
We may provide notices and other communications under this Agreement to you by email to the email address you provide with your account or by posting such
notice to your account. All notices, requests, consent and other communications under this Agreement sent to Innovatus will be in writing. Click to write to us.
12.9 Entire Agreement
This Agreement and all policies and procedures that are incorporated by reference constitute the entire agreement between you and Innovatus for provision
and use of the Services. Except where expressly stated otherwise in a writing executed between you and Innovatus, this Agreement will prevail over any
conflicting policy or agreement for the provision or use of the Services. This Agreement sets forth your exclusive remedies with respect to the Services.
If any provision or portion of this Agreement is held to be invalid or unenforceable under Law, then it will be reformed and interpreted to accomplish the
objectives of such provision to the greatest extent possible, and all remaining provisions will continue in full force and effect.
